Terms of use

Rules governing access to and use of the VireLyon website and platform.

01

Purpose

These terms of use (the “Terms”) set out how the virelyon.io website and, where applicable, the VireLyon platform accessible after account creation may be accessed and used.

Browsing the site constitutes acceptance of these Terms. Users who do not accept them must stop using the site.

Commercial conditions (pricing, subscription term, service levels, billing) will be governed by separate terms of sale applicable from the platform’s commercial launch.

02

Definitions

  • “Platform”: the VireLyon software enabling configuration and supervision of autonomous software agents.
  • “Agent”: a software component (ARES, APEX or AURA) performing tasks defined by the Customer using AI models and automations connected to the Customer’s tools.
  • “Customer”: the legal entity subscribing to the Platform.
  • “User”: any natural person accessing the site or, on a Customer’s behalf, the Platform.
  • “Customer Content”: data, files, texts and settings supplied by the Customer or collected on its behalf.
03

Access to the service

The site is freely accessible. Access to the Platform requires account creation and, from commercial launch, an active subscription.

Users are responsible for keeping their credentials confidential and for all activity carried out from their account. They must notify the publisher without delay of any unauthorized use.

The Customer remains responsible for the permissions granted to its own staff and for revoking their access.

04

Nature of the service: what an agent does and does not do

The Platform provides software agents performing assistance tasks: prospect research and qualification (ARES), handling of inbound requests (APEX), production of reports and analyses (AURA).

Agents rely on language models. Their outputs may contain inaccuracies. They are decision support, not decisions.

  • No decision producing legal effects or significantly affecting a person is taken solely on the basis of automated processing.
  • A human escalation mechanism handles situations outside the scope defined by the Customer.
  • The Customer defines each agent’s scope of action, autonomy level and guardrails, and retains supervision.
  • The Customer remains responsible for messages sent in its name and for actions taken on agent recommendations.
05

User obligations

Users undertake to use the site and the Platform fairly. In particular, they must not:

  • circumvent technical protection measures or attempt to access areas not intended for them;
  • use the agents to send unsolicited communications in breach of applicable outreach rules;
  • feed the Platform with personal data collected without a legal basis, or with sensitive data within the meaning of applicable regulations;
  • carry out bulk or automated extraction of site content;
  • use the service for unlawful, deceptive or defamatory purposes, or in a way that infringes third-party rights.

The Customer warrants that it has a legal basis for any personal data processing entrusted to the agents and is responsible for informing the data subjects concerned.

06

Intellectual property and content

The publisher retains all rights in the Platform, its code, interfaces, prompt templates and documentation. A subscription grants a personal, non-exclusive, non-transferable right of use for the contract term.

The Customer retains full ownership of its Customer Content and grants the publisher, for the contract term only and solely to perform the service, the hosting, reproduction and processing rights required for the agents to operate.

Customer Content is not used to train general-purpose AI models.

07

Availability, maintenance and changes

The publisher owes a best-efforts obligation as to service availability. Interruptions may occur for maintenance, updates, security incidents or third-party provider failures.

Scheduled work is announced within a reasonable time. Quantified availability commitments are covered, where applicable, by a separate service level agreement.

The publisher may change features. Removal of any substantial feature is notified to the Customer with reasonable notice.

08

Liability

The publisher shall not be liable for indirect damage, including loss of revenue, loss of customers, data loss attributable to the Customer, or reputational harm.

Nor shall the publisher be liable for the consequences of agent use that does not comply with these Terms, of incorrect configuration by the Customer, or of failure by third-party services the Customer chose to connect to the Platform.

Nothing in these Terms excludes the publisher’s liability for gross negligence, willful misconduct or harm to persons.

09

Term, suspension and termination

These Terms apply throughout use of the site and the Platform.

The publisher may suspend access, after formal notice has gone unheeded, in the event of serious breach, and without prior notice where service security or third-party rights are demonstrably at risk.

On termination, the Customer has thirty (30) days to retrieve its Customer Content in a usable format. After that period, it is deleted as described in the privacy policy.

10

Changes to these Terms

The publisher may amend these Terms. The applicable version is the one published on the site at the time of use. Any substantial change affecting a subscribed Customer is notified before it takes effect.

11

Governing law and disputes

These Terms are governed by the laws of the State of New Mexico (United States). The publisher is VireLyon AI LLC.

The parties shall seek an amicable resolution of any dispute. Failing agreement within thirty (30) days of the first written notice, the dispute shall be brought before the competent courts of the State of New Mexico.

This clause applies subject to mandatory protective provisions benefiting consumer users and, for Customers established in the European Union, to the applicable jurisdiction rules.
